Terms of Service

1. Agreement to Terms

By accessing or using the services of SparrowRhythm HK Limited ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Description

SparrowRhythm HK Limited provides IT consulting, digital transformation support, digital operations management, digital advertising, and related business services. The specific scope of services will be defined in individual service agreements with clients.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with reasonable requests for information and access
• Make timely payments as per agreed terms
• Use our services only for lawful purposes
• Respect our intellectual property rights
• Maintain confidentiality of proprietary information

4. Intellectual Property Rights

Unless otherwise specified in writing, all intellectual property created by SparrowRhythm in the course of providing services shall remain the property of the client upon full payment. However, we retain the right to use anonymized case studies and general methodologies for business development purposes.

5. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the course of the business relationship. This obligation survives the termination of services for a period of five (5) years.

6. Payment Terms

Payment terms include:

• Fees are as specified in individual service agreements
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• Client is responsible for all applicable taxes
• Disputed charges must be reported within 15 days of invoice date

7. Limitation of Liability

To the maximum extent permitted by law, SparrowRhythm HK Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless SparrowRhythm HK Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your breach of these Terms or misuse of our services.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, all outstanding fees become immediately due. We will provide reasonable assistance in transitioning services to another provider if requested.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be resolved through arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email or through our website. Continued use of services after modifications constitutes acceptance of the updated Terms.
